Standard Terms and Conditions of Business

Caroline Salmon offers her services through Leap Consultancy as a sole trader and is hereinafter referred to as Leap. Leap operates under the following Standard Terms and Conditions as listed below. Such terms may vary from time to time, or be amended to suit the particular requirements of any project/ relationship with a Client. Any such variation will be confirmed in writing by Leap, prior to those amendments of terms coming into effect.
Charging.
Leap charges for services at either:
a) Fee per hour/day basis plus expenses (from £45 per hour to £300 per day)
or b) On an all inclusive basis for a particular job
or c) By agreement
VAT is currently not applicable.
Calculation of chargeable time.
Work is charged on a daily rate basis of an 8 hour day, where less than 6 hours are spent an hourly rate applies. There is a minimum charge of 3 hours.
Expenses.
All expenses incurred in the conduct of the work are re-charged to the Client unless otherwise agreed in writing. These include travel, subsistence, administration, and production of reports and materials used in the course of contracted work.
Contractual Formalities.
All work is carried out on the basis of a written or agreed verbal quotation, which will be confirmed back to the Client in writing. Email is considered to be an acceptable mode of written communication for this purpose.
Written quotations are valid for 3 calendar months and will be assumed to have lapsed, if not accepted within that time. Work carried out which was not within the original quote will be charged at the standard rates.
During a project, any meetings with Clients to plan, review and evaluate on-going progress of the project are chargeable unless agreed otherwise in writing. Leap reserves the right to charge reasonable preparation time for meetings. Leap will try wherever possible to be flexible about
re-arranging meetings that have been agreed, but which the Client is unable to make. Leap reserves the right to charge for meetings cancelled or postponed by the Client.
Terms of payment.
Invoices are issued at the completion of any project, or at the end of each month whichever is appropriate. Payment to Leap is expected at 30 days. Any queries in respect of any invoice should be reported in writing within 14 days of the date of receipt
Late Payment.
Leap reserves the right, as set out in the Late Payment of Commercial Debts (Interest) Act 1998 and its amendment of 7 August 2002, to claim reasonable debt recovery costs and statutory interest on late payment of bills. Such interest to be set at the level of the six month reference rate, (being that of the Bank of England base rate at 31st December and 30th June), as valid within the period in which the invoice was issued plus 8% interest.
Interest will commence one month from the issue date of the invoice. Interest relating to late payment will be presented as a separate invoice for immediate payment and will be issued as a monthly invoice for the first three months and quarterly hereafter.

Cancellation charges.
Cancellation and Postponement charges on all agreed costings, come into effect should arrangements be altered at short notice. Any Cancellation or Postponement should be made by telephone and then confirmed in writing.
Cancellation of agreed work will be subject to cancellation charges at the following percentage of the original agreed figures:

  • Cancellation within 2 weeks of the time agreed 100%
  • Cancellation between 2 and 4 weeks of the time agreed 75%
  • Cancellation between 4 and 6 weeks of the time agreed 50%
  • Cancellation between 6 and 8 weeks of the time agreed 25%

Postponement of work.
In the event of work being cancelled but rescheduled to a firm date within 6 months of the original, assuming this rescheduling occurs within one month of the cancellation, then the work shall be deemed to be postponed rather than cancelled. In such an event the cancellation charge will stand, but the charges for the rescheduled work will be reduced to the following rates, which reflect the amount of notice given of the cancellation in the first instance.
When notice of Cancellation is received the percentage of the of original fee payable will be;

  • Within 2 weeks of the time agreed 50%
  • Between 2 and 4 weeks of the time agreed 70%
  • Between 4 and 6 weeks of the time agreed 85%
Payment of travel time.
Leap normally accepts the inclusion of 1 hour of travel to and from an external location as being included in the daily rate. Any additional travel time incurred in the conduct of Client work will be charged at 50% of the hourly or daily rate which ever is appropriate. Special rates may be agreed for travel time exceeding a total of 8 hours.
Confidentiality.
Leap will make all reasonable endeavours to ensure that any information given to her or any sub-contractors during their work on a project will be kept in strict confidence and not divulged to any third party or organisation.
If Leap is working with a third part to enable the work to be undertaken, it is understood that Leap's may discuss aspects of a project with sub-contractors in the course of Leap's normal business, but Leap will make all reasonable endeavours to ensure that such associates will not disclose specific information about individuals or the organisation, gained during the work with any third party.
Copyright.
Materials or research developed for a project, together with any copyright pertaining to that project, remain the property of Leap at all times.
Material which is introduced and/or developed specifically by Leap for use on a project will be regarded by the Client strictly for use on the project itself.
However, any database funded by the Client and held for the Client remains the property of the Client and is his responsibility under the Data Protection Act, although Leap will retain the agency on such information.
Compliance.
Leap will make all reasonable endeavours to ensure that any subcontractors and associates will not use information gained during their work with any Client for any personal or company benefits.
Use of our resources.
Associates introduced by Leap to work with the Client are under contract to Leap, unless Leap informs to the contrary. If a Client wishes to use any sub-contractor or associate, introduced by Leap or working with Leap, for any other project or purpose, Leap expects the Client to request permission in writing. Leap reserves the right to charge an introduction fee for any such introduction.
Responsibility.
Leap will make all reasonable endeavours to ensure that she, her sub-contractors and associates take the greatest care with any research, reports project management or training and development activity, to ensure that a quality product is provided within the time scale agreed.
Application of these Terms and Conditions.
Any person who has participated in the work Leap has done for a Client, or has received a brief about it, is deemed to have accepted these terms and conditions as specified above.
The Client is responsible for conveying these conditions to relevant individuals, either inside or outside their organisation.
Acceptance of these Terms.
These terms are intended as a starting point, and shall exist as Standard Conditions unless variants of the terms are agreed in writing by Leap and the Client prior to the commencement of any project or intervention.
